1.Agreement
These Terms of Service (“Terms”) govern your access to and use of Proofstock (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2.Proofstock is research, not investment advice
Proofstock publishes impersonal, quantitative research: transparent six-factor ratings of publicly traded stocks. This research is a general information product made available to all subscribers on the same basis. It is not personalized investment advice, not a recommendation or solicitation to buy, sell, or hold any security, and not tailored to your financial situation, objectives, or needs.
Proofstock does not act as your investment adviser, broker, or fiduciary, and no advisory relationship is created by your use of the Service. Ratings are research outputs of a model, not buy/sell signals. You are solely responsible for your own investment decisions. You should do your own research and consider consulting a licensed financial professional before making any investment decision.
3.No warranty; data accuracy
The Service is provided “as is” and “as available.” Ratings and underlying data are derived from third-party market and fundamental data sources and may contain errors, omissions, or delays. We do not warrant that the Service or any data, rating, or output will be accurate, complete, timely, or uninterrupted. Past ratings and any track-record information are historical and are not a guarantee of future results.
4.Accounts
You must provide accurate information when creating an account and are responsible for maintaining the security of your credentials and for all activity under your account. You must be at least 18 years old to use the Service.
5.Subscriptions and billing
Paid plans (e.g., Plus) are billed in advance on a recurring monthly basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method the applicable fee each billing period until you cancel. Prices are shown at checkout and may change on a prospective basis with notice. Your subscription auto-renews each period unless canceled.
You can cancel at any time from your account’s billing portal. When you cancel, your paid access continues through the end of the current billing period and does not renew after that.
6.Refunds
Subscription fees are generally non-refundable, and we do not provide prorated refunds for partial billing periods, cancellations, or unused time. If you believe you were billed in error or experienced a genuine problem with the Service, contact us and we will review your situation in good faith. Any refund is at our discretion.
7.Acceptable use
You agree not to: (a) scrape, harvest, or bulk-extract data except through features expressly provided to you; (b) resell, redistribute, or sublicense the Service or its data without our written permission; (c) reverse engineer or attempt to derive the underlying model; (d) interfere with or disrupt the Service; or (e) use the Service in violation of applicable law.
8.Intellectual property
The Service, including its ratings, methodology presentation, software, and content, is owned by Proofstock and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access the Service for your own personal or internal use.
9.Limitation of liability
To the maximum extent permitted by law, Proofstock and its operators will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any investment losses, lost profits, or trading losses, arising out of or related to your use of the Service or reliance on any rating or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.
10.Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the effective date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11.Termination
We may suspend or terminate your access if you violate these Terms. You may stop using the Service and cancel your subscription at any time.
12.Governing law
These Terms are governed by the laws of the State of [your state], without regard to its conflict-of-laws rules.
